About these terms
These terms govern access to and use of the LinLex Outreach Platform — a web-based B2B outreach automation service operated by LinLex LTD (Company No. 08446365, VAT GB 159 242 891), of 3rd Floor, 86-90 Paul Street, London, EC2A 4NE.
By connecting a Microsoft 365 or Google Workspace mailbox to the LinLex Outreach Platform, you (on behalf of your organisation) enter into a binding agreement with LinLex LTD on these terms.
The service
The LinLex Outreach Platform provides, at the direction of the authenticated user and their organisation:
- Outbound one-to-one email campaign delivery from the user's own mailbox via Microsoft Graph or Gmail API
- Reply detection and opt-out classification on campaign-originated threads
- Calendar availability checks and meeting slot proposals (when enabled)
- Contact management, suppression lists, campaign reporting, and engagement analytics
The service is delivered under a separate written engagement agreement ("Engagement Agreement") which sets out the commercial terms, scope, deliverables, data processing responsibilities, and service levels for your organisation. These Terms of Service are the baseline terms and are supplementary to, not a replacement for, that Engagement Agreement.
Your account and credentials
Access to the platform requires OAuth authorisation against your Microsoft 365 or Google Workspace account. By granting this authorisation:
- You confirm you are authorised by your organisation to connect the relevant mailbox
- You grant LinLex the scopes necessary to deliver the service (documented in our Privacy Notice, Section 11)
- You accept responsibility for content sent from your mailbox via the platform
- You can revoke access at any time via your provider's account settings or our disconnect page
Acceptable use
You agree not to use the LinLex Outreach Platform to:
- Send unsolicited communications to consumer (personal, non-business) email addresses
- Send bulk broadcast emails — the platform is designed for one-to-one personalised communications only
- Violate the Privacy and Electronic Communications Regulations 2003 (PECR), UK GDPR, the CAN-SPAM Act, or equivalent legislation in any recipient's jurisdiction
- Impersonate another person or organisation, misrepresent the sender, or send deceptive content
- Send content that is unlawful, defamatory, obscene, or infringes intellectual property rights
- Attempt to circumvent rate limits, suppression lists, opt-out processes, or any technical control
- Use the platform for phishing, malware distribution, or any security-threat activity
LinLex reserves the right to suspend access, at its discretion and without notice, to any user whose activity materially breaches this section.
Data protection
Data handling is governed by the LinLex Privacy Notice and, where LinLex processes personal data on your organisation's behalf, by the Data Processing Agreement included in your Engagement Agreement.
Specifically for Google Workspace connections, LinLex adheres to the Google API Services User Data Policy, including the Limited Use requirements. Full scope-by-scope details are set out in Section 11 of our Privacy Notice.
Availability and service levels
The platform is provided on a reasonable-endeavours basis without explicit uptime commitment in these baseline terms. Specific service levels, if any, are set in your Engagement Agreement.
Planned maintenance windows are communicated in advance where practicable. Unplanned outages are notified via the LinLex status page at status.linlexltd.co.uk.
Intellectual property
LinLex retains all intellectual property rights in the LinLex Outreach Platform, its underlying code, configuration, and any generic tooling developed in the course of delivering the service. You retain all rights in your content (contacts, message bodies you author, campaign configuration) and any deliverables expressly assigned to you under your Engagement Agreement.
Liability
Nothing in these terms limits or excludes any liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or fraud or fraudulent misrepresentation.
Subject to the foregoing, LinLex's aggregate liability under these Terms of Service in any twelve-month period is capped at the total fees paid by your organisation under its Engagement Agreement in that period; or, where no Engagement Agreement is in place, at £1,000.
Neither party shall be liable to the other for indirect, consequential, or special loss, loss of profits, loss of business, loss of anticipated savings, or loss of data (save as expressly required by data protection law).
Termination
Either party may terminate the provision of the LinLex Outreach Platform:
- In accordance with the termination provisions of the Engagement Agreement; or
- By either party on written notice if the other party materially breaches these terms and fails to remedy the breach within 14 days of written notice; or
- By LinLex immediately if suspension is required to address an imminent security, legal, or regulatory risk.
On termination, OAuth tokens held by LinLex are revoked within 7 days and connected mailbox data is deleted in accordance with the retention schedule in the Privacy Notice.
General
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. No failure or delay by LinLex in exercising any right under these terms operates as a waiver of that right.
LinLex may update these terms from time to time. Material changes will be notified via the email address on file for your organisation. Continued use of the platform following notification constitutes acceptance of the updated terms.
